Franchising and Distribution
Our Franchise & Distribution Practice Group represents franchisors, franchisees, manufacturers, dealers and distributors in the structure, implementation and maintenance of their relationships. Our practice includes:
• Advice as to state and federal disclosure obligations, including compliance with the FTC Disclosure Rule and the preparation of uniform franchise offering circulars and state registrations.
• Preparation of franchise, area development, master franchise; sub-franchise, cooperative advertising and related documents.
• Prosecuting and defending applications for trademarks and service marks and licensing of same.
• Assisting with relationship issues, including enforcement, terminations, renewals, encroachment, and assignments.
• Representation in mediation, arbitration, litigation, and administrative hearings involving state relationship and termination law, the Petroleum Marketing Practices Act, Dealers Day in Court acts, trademark infringement, unfair competition, unfair trade practice, trade secret and non-competition agreement disputes, and motor vehicle commission actions.
